for the Sumondo platform usage and subscription Services

1. Introduction and Acceptance of Terms
1.1. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Tazen Sumondo Health Solutions Private Limited (“Sumondo”, “we”, “us”, or “our”), a company incorporated under the Companies Act, 2013, bearing CIN No. U86900KA2024PTC184685, having its registered office at 413 Srinivasa Signature, C Block Bellandur Outer, Bellandur, Bangalore South, Bangalore – 560103, Karnataka, India.
1.2. These Terms govern your access to and use of the Sumondo Pro mobile application (“App”), the Sumondo website (sumondo.co), associated wearable devices and sensors, the employer dashboard, and any related services (collectively, the “Services”).
1.3. By downloading, installing, accessing, or using the App or any of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.
1.4. We may amend these Terms from time to time. Material changes will be communicated to you via the App, email, or our website at least thirty (30) days before they take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
2. Definitions
“App” means the Sumondo Pro mobile application available for iOS and Android devices.
“Content” means all text, audio, guided meditations, breathing exercises, music, images, data, software, and other materials made available through the Services.
“Dashboard” means the web-based employer portal that provides anonymised, aggregated stress data and wellbeing insights at a group level.
“Health Data” means personal data and sensitive personal data relating to your physical or mental health, including heart rate, Heart Rate Variability (HRV), stress levels, meditation activity, and any data derived from wearable sensors.
“Subscription” means a paid plan granting access to the Services for a specified period (monthly, quarterly, semi-annual, or annual).
“Supported Devices” means compatible wearable devices and heart rate monitors that connect to the App via Bluetooth Low Energy (BLE), including but not limited to Garmin watches, Polar H10, Polar A370, and the Sumondo Health Band.
“User Account” means the personal account created by or on behalf of a User to access the Services.
3. Eligibility
3.1. You must be at least eighteen (18) years of age to use the Services. If you are a minor under the applicable laws of your jurisdiction, you must have the consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf.
3.2. If you are accessing the Services on behalf of an organisation (e.g. through a corporate wellness programme), you represent and warrant that you have the authority to bind that organisation to these Terms.
4. User Accounts
4.1. To use the full functionality of the Services, you must create a User Account by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials.
4.2. You agree to immediately notify Sumondo of any unauthorised use of your account or any other breach of security.
4.3. You are solely responsible for all activities that occur under your User Account. Sumondo shall not be liable for any loss or damage arising from your failure to secure your account.
4.4. Sumondo reserves the right to suspend or terminate your User Account if we reasonably believe you have breached these Terms or if your account has been compromised.
5. Description of the Services
5.1. Sumondo Pro provides a digital stress management and wellbeing platform. The Services include:
• Real-time stress measurement using Heart Rate Variability (HRV) data from Supported Devices.
• A personalised stress timeline and history showing stress patterns over time.
• The ability to tag and identify personal stressors.
• Guided mindfulness meditation exercises at multiple levels.
• Breathing exercises with visual guidance.
• Biophilic and relaxation music.
• Wellbeing assessments and progress tracking.
• An employer Dashboard for anonymised, group-level wellbeing insights (for corporate subscriptions).
5.2. The App connects to Supported Devices via Bluetooth Low Energy (BLE). The quality and availability of stress measurements depend on the compatibility and proper functioning of your wearable device. Sumondo does not guarantee compatibility with all wearable devices.
5.3. The Services may be updated, modified, or discontinued at any time without prior notice, except where such changes materially affect your Subscription rights, in which case reasonable notice will be given.
6. Medical Disclaimer
6.1. IMPORTANT: THE SERVICES ARE NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF A QUALIFIED HEALTHCARE PROVIDER WITH ANY QUESTIONS REGARDING A MEDICAL CONDITION.
6.2. Sumondo Pro holds a CE certification mark stating conformity with safety standards for products sold within the European Economic Area (EEA). The App has been tested at various clinics in Denmark and at the Technical University of Denmark (DTU), and is used across multiple countries. However, the App is intended as a stress management and wellbeing tool and does not diagnose, treat, cure, or prevent any disease or medical condition.
6.3. Stress measurements, HRV readings, and any insights generated by the App are intended for informational and self-management purposes only. They should not be relied upon as the sole basis for any healthcare decision.
6.4. If you are experiencing a medical or mental health emergency, please contact emergency services (112 in the EU, 112 / 108 in India, or your local emergency number) immediately.
6.5. Mental health professionals using the App to monitor patients’ progress do so under their own professional responsibility. Sumondo does not assume clinical liability for treatment decisions made on the basis of App data.
7. Subscriptions and Payment
7.1. Subscription Plans
Sumondo offers the following subscription plans for individual users: monthly (1 month), quarterly (3 months), semi-annual (6 months), and annual (12 months). Corporate subscription plans are available separately through our enterprise sales team. Details of current pricing are available at sumondo.co/shop or within the App.
7.2. Payment
All payments are processed through the applicable app store (Apple App Store or Google Play Store) or via our website payment processor. You agree to pay all fees associated with your chosen Subscription plan. All prices are shown inclusive of applicable taxes (including GST) unless stated otherwise.
7.3. Free Trials
We may offer free trial periods from time to time. At the end of the trial, your Subscription will automatically convert to a paid plan unless you cancel before the trial period ends.
7.4. Auto-Renewal
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Monthly subscriptions renew each month; longer plans renew at the end of their respective terms.
7.5. Cancellation
You may cancel your Subscription at any time through your app store account settings or by contacting us at . Upon cancellation, you will retain access to the Services until the end of your current paid period. No partial refunds will be issued for unused portions of a billing period, except as required by applicable law or as described in Section 7.6.
7.6. Refunds
If you cancel a quarterly, semi-annual, or annual subscription before the subscription term has ended, you may be eligible for a pro-rated refund. The standard monthly rate will be applied for each month of use instead of the discounted rate. Refund requests should be submitted to . Refunds for purchases made through app stores are subject to the refund policies of Apple or Google, as applicable. All refunds shall be processed in accordance with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020, where applicable.
7.7. Price Changes
Sumondo reserves the right to change subscription prices. We will provide at least thirty (30) days’ advance notice of any price increase. Price changes will take effect at the start of your next billing cycle following the notice period.
8. Wearable Devices and Sensors
8.1. The App is designed to work with Supported Devices that transmit heart rate data via Bluetooth Low Energy (BLE). A list of currently Supported Devices is available in the App and on our website.
8.2. If you purchase a Sumondo Health Band or other sensor directly from Sumondo (via sumondo.co/shop), the sale and delivery of that physical product are governed by the purchase terms displayed at the point of sale and applicable consumer protection legislation.
8.3. Sumondo does not manufacture third-party sensors (e.g. Garmin, Polar) and assumes no responsibility for the accuracy, reliability, safety, or performance of third-party devices.

9. Data Protection and Privacy
9.1. Applicable Laws
We are committed to protecting your personal data in accordance with the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011 (“IT Rules”), and the Digital Personal Data Protection Act, 2023 (“DPDP Act”) of India. For users located in the European Union/European Economic Area, we also comply with the General Data Protection Regulation (EU) 2016/679 (“GDPR”). For users in other jurisdictions, we comply with applicable local data protection laws.
9.2. Categories of Data Collected
The Services collect and process the following categories of personal data:
• Account information: name, email address, phone number, password (encrypted).
• Health Data (Sensitive Personal Data): heart rate, HRV measurements, stress levels, meditation and breathing exercise activity, stressor tags.
• Device data: device type, operating system, Bluetooth connection logs.
• Usage data: App usage patterns, feature engagement, session durations.
9.3. Consent for Sensitive Personal Data
Health Data is classified as “sensitive personal data or information” under the IT Rules and as “personal data” under the DPDP Act. We process your Health Data on the basis of your explicit consent, which you provide when you first set up the App and connect a wearable device. For users in the EU/EEA, Health Data is classified as “special category” data under Article 9 of the GDPR, and is processed based on your explicit consent. You may withdraw your consent at any time (see Section 9.7), although this may limit the functionality of the Services.
9.4. Purpose of Processing
We process your data for the following purposes:
• To provide and operate the Services, including real-time stress monitoring and personalised stress history.
• To generate anonymised and aggregated wellbeing reports for the employer Dashboard (corporate subscriptions only).
• To improve, develop, and maintain the App and Services.
• To communicate with you regarding your account, Subscription, and Service updates.
• To comply with legal and regulatory obligations.
• For scientific research purposes, only with your separate, specific consent.
9.5. Data Storage and Security
Your data is stored on secure servers. We implement appropriate technical and organisational security measures as required under the IT Rules (including ISO 27001 or equivalent standards) and the DPDP Act, including encryption of data in transit and at rest, access controls, and regular security audits. If any data is transferred outside India, it will be subject to appropriate safeguards in accordance with applicable data transfer regulations. For EU/EEA users, transfers outside the EEA will comply with GDPR Chapter V requirements.
9.6. Data Retention
We retain your personal data for as long as your User Account is active and for a reasonable period thereafter for legal, tax, and audit purposes. Health Data associated with a deleted account will be anonymised or deleted within ninety (90) days of account deletion, unless retention is required by law.
9.7. Your Data Rights
Depending on your jurisdiction, you have the following rights regarding your personal data:
• Right of access: Request a copy of your personal data.
• Right to correction: Request correction of inaccurate or incomplete data.
• Right to erasure: Request deletion of your data.
• Right to data portability: Receive your data in a structured, machine-readable format (where technically feasible).
• Right to withdraw consent: Withdraw your consent for Health Data processing at any time.
• Right to nominate: Under the DPDP Act, you may nominate another person to exercise your rights in the event of your death or incapacity.
• Right to grievance redressal: You have the right to raise a grievance with Sumondo’s Grievance Officer.
For EU/EEA users, additional rights include the right to restriction of processing and the right to object to processing based on legitimate interests.
To exercise any of these rights, please contact us at or our Grievance Officer (see Section 23). We will respond within thirty (30) days.
9.8. Employer Dashboard and Anonymisation
For corporate subscriptions, the employer Dashboard presents only anonymised, aggregated data. Individual employees cannot be identified through the Dashboard. Sumondo does not share individual Health Data with employers without the explicit consent of the employee.
9.9. Cookies and Analytics
Our website and App may use cookies and similar technologies. Please refer to our Cookie Policy at sumondo.co for details.

The Grievance Officer shall acknowledge your complaint within forty-eight (48) hours and resolve it within thirty (30) days of receipt.
You also have the right to approach the Data Protection Board of India established under the DPDP Act, or the relevant supervisory authority in your jurisdiction.
10. Intellectual Property
10.1. All intellectual property rights in the App, website, Content, and Services (including software, design, graphics, audio content, guided meditations, music, algorithms, trademarks, and trade names) are owned by or licensed to Tazen Sumondo Health Solutions Private Limited. Nothing in these Terms transfers any intellectual property rights to you.
10.2. Subject to your compliance with these Terms, Sumondo grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App on your personal device(s) solely for your personal, non-commercial use (or for the internal business purposes of your organisation, in the case of a corporate subscription).
10.3. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, or disassemble the App or any Content, or create derivative works based on the App or Content, except as expressly permitted by applicable law.
11. Acceptable Use
11.1. You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
• Use the Services for any purpose that is unlawful, harmful, or fraudulent.
• Attempt to gain unauthorised access to the Services, other accounts, or computer systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use automated scripts, bots, or scrapers to access or interact with the Services.
• Transmit viruses, malware, or any harmful code through the Services.
• Reproduce, sell, resell, or exploit any portion of the Services for commercial purposes without written consent.
• Share your User Account credentials with third parties.
• Use the Services to collect data about other users without their consent.
12. Third-Party Services and Links
12.1. The Services may contain links to or integrate with third-party websites, products, or services (e.g. wearable device manufacturers, app stores, payment processors). Sumondo is not responsible for the content, accuracy, or practices of any third party.
12.2. Your use of third-party services is governed by their respective terms and conditions and privacy policies. We encourage you to review these before using such services.
13. Disclaimer of Warranties
13.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13.2. Sumondo does not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
13.3. Sumondo does not warrant the accuracy, completeness, or reliability of any stress measurements, HRV data, or insights generated by the App. Results may vary depending on device quality, sensor placement, environmental conditions, and individual physiology.
13.4. Nothing in these Terms excludes or limits any warranty or consumer right that cannot be excluded or limited under applicable law, including the Consumer Protection Act, 2019 of India and the Consumer Protection (E-Commerce) Rules, 2020.
14. Limitation of Liability
14.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUMONDO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
14.2. Sumondo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses.
14.3. Sumondo shall not be liable for any health outcomes, injuries, or damages that you attribute to your use of or reliance on the Services, except where such liability cannot be excluded under applicable law.
14.4. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Sumondo, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Services, your breach of these Terms, or your violation of any applicable law or the rights of a third party.
16. Termination
16.1. You may terminate your User Account at any time by deleting your account through the App settings or by contacting us at .
16.2. Sumondo may suspend or terminate your access to the Services immediately if you breach these Terms, or if required by law, or to protect the safety and security of our users or systems.
16.3. Upon termination, your right to use the Services ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive, including Sections 10 (Intellectual Property), 13 (Disclaimer), 14 (Limitation of Liability), 15 (Indemnification), and 18 (Governing Law).
16.4. Following account termination, Sumondo will handle your data in accordance with Section 9.6 (Data Retention).
17. Force Majeure
Sumondo shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, cyber-attacks, power outages, telecommunications failures, or governmental actions.
18. Governing Law and Dispute Resolution
18.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
18.2. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties.
18.3. If the dispute is not resolved through negotiation within thirty (30) days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. The seat of arbitration shall be Bangalore, India, and the language of arbitration shall be English.
18.4. Subject to the arbitration clause above, the courts at Bangalore, India shall have exclusive jurisdiction over any disputes arising under these Terms.
18.5. For users in the EU/EEA, nothing in these Terms affects your rights as a consumer under mandatory applicable consumer protection laws. If you are a consumer resident in the EU, you may also use the European Commission’s Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr to resolve disputes online.
18.6. Nothing in this Section prevents a party from seeking urgent interim relief from any court of competent jurisdiction.
19. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
20. Entire Agreement
These Terms, together with our Privacy Policy and any applicable Subscription or purchase terms, constitute the entire agreement between you and Sumondo regarding the Services and supersede all prior agreements, understandings, and communications.
21. Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Sumondo. Sumondo may assign its rights and obligations under these Terms to an affiliate or successor entity without your consent, provided that such assignment does not materially reduce your rights under these Terms.
22. Waiver
No failure or delay by Sumondo in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. A waiver of any term or condition shall be effective only if given in writing and shall not be construed as a waiver of any subsequent breach.
